These Terms of Service ("Terms") govern your access to and use of the Demiton platform and services ("Services"). Please read these Terms carefully. By accessing or using our Services, you agree to be bound by these Terms.

1. The Service

Demiton provides a Governance, Risk, and Compliance (GRC) software-as-a-service platform designed to be "The Essential Compliance Layer for Microsoft Dynamics". The Services allow you to manage compliance documents, audit evidence, and related operational data.

2. Accounts and Responsibilities

To use our Services, you must register for an account. You agree to provide accurate and complete information and to keep this information up to date. You are responsible for safeguarding your password and for all activities that occur under your account.

3. Subscriptions and Payment

Our Services are billed on a subscription basis. You will be billed in advance on a recurring, periodic basis (typically annually). Subscriptions will automatically renew unless canceled. You can manage your subscription through your account's billing settings. All fees are exclusive of applicable taxes.

4. Your Content and Data

You retain all ownership rights to the Customer Data you upload to the Services. We do not claim any ownership over your data. You grant us a limited license to access, use, and process your Customer Data solely for the purpose of providing and improving the Services for you.

5. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL DEMITON OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICES.

6. Termination

We may terminate or suspend your access to the Services immediately, without prior notice, for any reason, including a breach of these Terms. You may cancel your subscription at any time, with the cancellation taking effect at the end of your current billing period.

7. Governing Law

These Terms shall be governed by the laws of [Your Jurisdiction, e.g., Queensland, Australia], without regard to its conflict of law provisions.
