Preamble:These Terms of Service ("Terms") constitute a binding legal agreement between you (the "Customer") and Demiton Pty Ltd (ABN 12 345 678 901) ("Demiton", "we", "us"). By creating an account, signing in to the Platform, or accessing the Platform through Claude or another MCP-compatible client, you agree to be bound by these Terms and our Privacy Policy.
1. Definitions
"Platform" means the Demiton memory layer for Australian civil construction, including the web application at app.demiton.io, the Model Context Protocol (MCP) server at api.demiton.io/mcp, and supporting public surfaces.
"Services" means access to the Platform under your active Service Tier, including any optional integrations you connect (such as Microsoft Dynamics 365 Business Central, Assignar, KeyPay, SharePoint, or Dropbox).
"Customer Data" means all data, documents, files, configuration, and credentials that you or your authorised users upload, connect, or generate within the Platform. This includes uploaded contracts on Insights, and live system data pulled by connected adapters on Connected.
"Service Tier" means the plan you select (Public, Insights, Connected, or Enterprise), each with the features and limits described on /pricing.
"AI Output" means content generated by a large-language-model or other AI system when responding to a query that uses the Platform, including responses delivered through the Claude or ChatGPT MCP connector.
2. Service Tiers and Eligibility
The Services are intended for use by businesses operating in or supplying to the Australian civil construction industry. You must be at least 18 years old and authorised to bind your organisation to these Terms.
- Public. Free. Requires signup with a verified business email. No credit card. Each free account opens with a 14-day Insights trial. After the trial, your account continues on Public at no charge unless you choose to upgrade.
- Insights. Self-serve subscription. AU$899 per month or AU$9,000 per year (saves 17 percent versus monthly). Each new account starts with a 14-day trial with no payment method required. You may upgrade, downgrade, or cancel at any time from your account settings.
- Connected. Sales-touch subscription. AU$35,000 per year plus an implementation fee quoted at the start of the engagement. Connected requires a signed order form and connects to your live operational systems (typically Business Central, Assignar, KeyPay, and SharePoint or Dropbox).
- Enterprise. Quoted engagement starting from AU$150,000 per year. Used by customers requiring pooled anonymised benchmarking, multi-entity rollouts, or proprietary integrations not covered by the standard Connected adapter set.
Indigenous-owned firms verified through Supply Nation or an equivalent registry may apply for the Indigenous discount on Insights and Connected. Pricing for the discount is published on /pricing.
3. Acceptable Use
Demiton grants you a non-exclusive, non-transferable, non-sublicensable right to access the Platform for your internal business operations only. Demiton provides a software platform; we are not your accountant, lawyer, tax adviser, or financial adviser, and the Services are not financial, legal, or investment advice.
You agree that you will not:
- Use the Services in breach of Australian or any other applicable law, including sanctions, anti-money-laundering, anti-bribery, or workplace-safety law.
- Share account credentials or attempt to access another customer's data.
- Reverse-engineer, scrape, or attempt to circumvent rate limits, authentication, or audit controls on the Platform or the MCP server.
- Resell, sublicense, or white-label the Services without a separate written agreement.
- Use the Platform to develop a competing product, including by mining the public methodology or AI Outputs for that purpose.
- Upload Customer Data that you do not have the right to upload, or data of any individual under 16 years of age.
We reserve the right to throttle, suspend, or terminate access where usage threatens the stability, security, or lawful operation of the Platform.
4. Customer Data and Identity
Ownership. You retain all right, title, and interest in your Customer Data. We claim no ownership over it.
Roles. For the purposes of the Australian Privacy Act 1988 and the GDPR where it applies, you act as the Data Controller and Demiton acts as the Data Processor for Customer Data you bring into the Platform.
Licence to operate. You grant Demiton a limited, worldwide, non-exclusive licence to host, copy, transmit, process, and display your Customer Data solely to provide and improve the Services for you and to respond to your queries through the Platform and MCP server.
No training on Customer Data. We do not use Customer Data to train public AI models, fine-tune third-party large-language-models, or build features made available to customers outside your organisation. Anonymised aggregate metrics used in Enterprise benchmarking are governed by the opt-in flow described in our Privacy Policy.
Identity-bound execution.Every action taken inside the Platform is tied to a named user identity via Microsoft Entra ID or an equivalent OpenID Connect provider. You are responsible for keeping your users' credentials secure, deprovisioning users who leave your organisation, and reviewing the audit trail Demiton makes available to administrators.
5. AI Outputs and MCP Access
The Platform supports natural-language queries through Claude, ChatGPT, and other MCP-compatible clients. AI Outputs are produced by third-party large-language-models that Demiton does not control. AI Outputs may be incomplete, inaccurate, or stale, and may reflect bias in source data. You must verify any AI Output before relying on it for commercial, legal, or safety decisions.
- OAuth on every call. All MCP access is secured by OAuth 2.1. Public tier accounts are required to query public-data tools through the MCP server; there is no anonymous access.
- Conversation limits. Insights includes 500 AI conversations per month; Connected includes 5,000. Limits and overage behaviour are described on /pricing.
- Third-party terms.Use of Claude, ChatGPT, or another MCP client is also governed by that provider's terms. We are not responsible for changes those providers make to their services.
6. Fees and Payment
Insights. Billed monthly or annually in advance through our payment processor. Annual plans are non-refundable in part except as required by the Australian Consumer Law and except for the pro-rata refund of unused full months when you cancel mid-term (described in the FAQs on /pricing).
Connected and Enterprise. Billed in accordance with the order form you sign. The implementation fee is invoiced separately at the start of the engagement and is not refundable once implementation work has commenced, except where work has not yet started or where required by the Australian Consumer Law.
Late payment. Subscription fees not paid within 14 days of the due date may result in suspension of access. We will give you written notice before suspending.
GST. All fees are in Australian dollars and exclusive of GST unless stated otherwise. We will issue a tax invoice for each payment.
7. Data Residency and Security
Residency. All production Customer Data, encryption keys, and audit logs are stored in the Australia East (Sydney) and Australia Southeast (Melbourne) Microsoft Azure regions. We do not transfer production Customer Data outside Australia unless you explicitly direct us to do so.
Encryption. Data is encrypted at rest using AES-256 and in transit using TLS 1.3. External key exchanges use RSA-4096 where required.
Access controls. Internal Demiton staff access to production environments is gated by just-in-time approval and multi-factor authentication. There is no standing access to Customer Data.
Sub-processors. A current list of sub-processors used to operate the Platform is maintained in our Privacy Policy.
8. Service Availability
We target 99.5 percent monthly uptime for the web application and MCP server, measured outside of scheduled maintenance windows. Current operational status is published at /status.
The Services depend on third-party systems you connect (such as Business Central, Assignar, and KeyPay) and on AI providers (such as Anthropic). Outages or rate-limits in those upstream systems may affect what the Platform can return, and are outside Demiton's control.
9. Limitation of Liability
Important
The Platform structures your operational data and surfaces AI Outputs for you to act on. We do not make commercial, legal, or safety decisions for you. AI Outputs may be wrong, and we strongly recommend you verify any AI Output before relying on it.
TO THE FULLEST EXTENT PERMITTED BY LAW, DEMITON'S TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES (WHETHER IN CONTRACT, TORT, OR OTHERWISE) IS LIMITED TO THE TOTAL FEES PAID BY YOU TO DEMITON IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NEITHER PARTY IS LIABLE FOR INDIRECT, CONSEQUENTIAL, OR LOSS-OF-PROFIT DAMAGES. NOTHING IN THESE TERMS LIMITS RIGHTS YOU HAVE UNDER THE AUSTRALIAN CONSUMER LAW THAT CANNOT BE LAWFULLY EXCLUDED.
10. Termination
By you, for convenience. You may cancel Insights at any time from your account settings; cancellation takes effect at the end of your current billing period. Connected and Enterprise customers may terminate in accordance with the order form they signed.
By Demiton, for cause. We may suspend or terminate access immediately if you materially breach these Terms, if we detect compromised credentials, or if continuing to provide the Services would expose us or other customers to legal or security risk.
Effect of termination. On termination you lose access to the Platform. For 30 days after termination you may request an export of your Customer Data in a machine-readable format. After that period we may delete Customer Data from production systems in line with the retention schedule in our Privacy Policy.
11. Changes to These Terms
We may update these Terms from time to time. If we make a material change we will give you at least 30 days' notice by email to your account's billing contact and by posting the new version at this URL with an updated Effective Date. Continued use after the notice period constitutes acceptance. If you do not accept the change you may cancel under Section 10 before the change takes effect.
12. Governing Law
These Terms are governed by the laws of Queensland, Australia. You and Demiton submit to the exclusive jurisdiction of the courts of Queensland for any dispute arising out of or related to these Terms.
